Lease Registration
When a commercial lease needs to be registered at HM Land Registry, the key deadline and the documents normally required.

When a tenant enters into a commercial lease in the UK, there may be a legal requirement to register it at HM Land Registry.
When is registration compulsory?
- Long-term leases: Any new lease granted for an original term of over seven years requires compulsory registration.
- Assignments and transfers: If an existing unregistered lease has more than seven years left to run and is transferred to a new tenant, it must be registered.
The deadline to register
When registration of a lease is required, the application must be submitted to HM Land Registry within two months of completing the lease agreement. Missing this window can cause the legal estate to revert or fail to take effect as a legal title, leaving your business exposed.
What happens if you do not register?
- Loss of legal status: Without registration, the lease operates only as an equitable interest rather than a formal legal estate in land.
- Reduced security: If the property changes ownership, a non-registered lease may lack full protection against a new freeholder.
- Breach of contract: Registration is usually the tenant's responsibility. Failing to do so breaks standard lease covenants and delays future transactions like subletting or assignment.
What documents are needed?
The registration process typically requires:
- The original signed lease document, or a copy that has been certified as a true copy of the original by solicitors.
- An accurate, scaled lease plan outlining the property boundaries.
- Proof of Stamp Duty Land Tax (SDLT) compliance.
- Any consents required from third parties such as the landlord’s lender or a superior landlord.
- The correct registration fee based on the rent and any premium payable under the lease.
